These Terms & Conditions set out the terms under which Breedie Studios provides creative, design and digital services and the terms that apply when you access or use the Breedie Studios website. By using our website, submitting an enquiry, approving a proposal or engaging Breedie Studios for a project, you agree to the terms applicable to that activity.
01. Agreement to These Terms
These Terms form the general framework governing your use of the Breedie Studios website and our provision of creative services. A project may also be governed by a separate quotation, proposal, statement of work, invoice, service agreement or other written agreement.
Where a project-specific agreement conflicts with these general Terms, the project-specific agreement will generally take precedence for that project. If you do not agree with these Terms, please do not use the website or submit an enquiry for services.
02. About Breedie Studios
Breedie Studios is a creative studio based in Kampala, Uganda. Our work may include web design, graphic design, branding, photo and video editing, visual communication, digital content and related creative services.
The exact scope of any project is determined by the applicable proposal, quotation, agreement or written confirmation between Breedie Studios and the client.
03. Our Services
We aim to provide creative services with professional care, clear communication and a standard of quality consistent with the agreed project scope.
- Website design and related digital design.
- Graphic design and marketing collateral.
- Brand identity and visual identity work.
- Photo and video editing.
- Creative direction and visual communication.
- Digital content and social media assets.
- Other custom creative services agreed with a client.
We may decline a project where its requirements are unlawful, unethical, misleading, discriminatory, infringe third-party rights, or otherwise fall outside the work Breedie Studios is prepared to undertake.
04. Enquiries, Quotes and Proposals
A website enquiry, email conversation or initial consultation does not by itself create a binding obligation for Breedie Studios to undertake a project.
Where we issue a quotation or proposal, it will normally describe the intended scope, deliverables, timeline and pricing. A project becomes confirmed when the applicable proposal or agreement is accepted and any required deposit or initial payment has been received.
Quotes are based on information available at the time. If the scope changes, additional work or deliverables may require a revised quotation.
05. Project Scope and Changes
Breedie Studios will work according to the agreed project scope. Requests outside that scope may be treated as additional work and may affect the project price and delivery schedule.
- Adding new pages, screens, concepts or deliverables.
- Changing an approved direction substantially.
- Requesting additional concepts beyond the agreed number.
- Adding services not included in the original proposal.
- Significant work caused by changed requirements or supplied materials.
Where reasonably practical, we will communicate the impact of a material scope change before proceeding.
06. Client Responsibilities
The client agrees to provide accurate information, approvals, feedback, content and other materials reasonably required to complete the project.

- Provide content and assets within agreed timeframes.
- Ensure supplied materials may legally be used.
- Review work and provide clear, consolidated feedback.
- Make decisions and approvals within reasonable timeframes.
- Pay agreed fees when due.
Delays in receiving required content, approvals, feedback or access may move the delivery date.
07. Pricing, Deposits and Payments
Project fees are stated in the applicable quotation, proposal, invoice or agreement. Unless otherwise agreed, Breedie Studios may require an upfront deposit before work begins.
A deposit secures project time and allows work to be scheduled. To the extent permitted by law, a deposit may be non-refundable where Breedie Studios has allocated time, begun work or incurred project-related costs.
Remaining balances are due according to the agreed payment schedule. Breedie Studios may pause work, withhold final deliverables or suspend access to unfinished project work where an undisputed payment is overdue.
Unless otherwise agreed, third-party costs such as domains, hosting, paid fonts, stock assets, plugins, subscriptions, licences, printing and advertising spend are separate from Breedie Studios' creative fees.
08. Revisions and Approvals
The number and type of revisions included in a project are determined by the applicable proposal or agreement. Revision rounds are intended to refine an agreed direction, not restart the project from the beginning.
A substantial change of direction after approval, repeated changes caused by new requirements, or revisions beyond the agreed scope may be charged separately. Once final approval is given, subsequent changes may be treated as additional work.
09. Delivery and Project Timelines
We will make reasonable efforts to meet agreed timelines. Delivery can depend on client feedback, content, approvals, third-party services and technical conditions, so dates may change where circumstances outside our reasonable control affect the project.
If a client becomes unresponsive for an extended period, Breedie Studios may pause the project. Rescheduling after a prolonged pause depends on availability and may require a revised timeline.
10. Intellectual Property
Client-owned materials
The client retains ownership of materials they provide, subject to rights belonging to third parties. The client grants Breedie Studios permission to use those materials as reasonably necessary to provide the agreed services.
Breedie Studios' pre-existing materials
Breedie Studios retains rights in pre-existing methods, templates, systems, processes, reusable components, know-how and materials that were not created exclusively for the client.
Final commissioned work
Where a project-specific agreement provides for transfer of ownership or a licence to the client, that transfer or licence applies according to its stated terms and, where relevant, after all applicable project fees have been paid in full.
Until agreed payment obligations are satisfied, Breedie Studios may retain ownership or control of unpaid deliverables to the extent permitted by law.
11. Third-Party Assets and Licences
Projects may include stock photography, fonts, software, plugins, themes, maps, hosting, APIs, music, video, payment services or other licensed resources.
Third-party assets remain subject to their own licence terms. Recurring subscriptions, renewals and external service costs are the client's responsibility unless the project agreement states otherwise.
Breedie Studios is not responsible for a third-party service becoming unavailable, changing pricing or terms, discontinuing a feature, or introducing technical limitations outside our control.
12. Website Use
You may use the Breedie Studios website for lawful purposes only. You must not attempt unauthorised access, interfere with website operation, introduce malicious code, scrape protected content, impersonate another person or use the website in a way that could harm Breedie Studios or other users.
We aim to keep website information accurate and current, but do not guarantee that every statement, image, portfolio item, availability indication or technical feature will always be complete, current or error-free.
13. Portfolio and Publicity
Breedie Studios may display completed work in its portfolio, website, social media, presentations, awards submissions or other promotional materials.
We will respect confidentiality or portfolio restrictions specifically agreed with a client. Where a project contains confidential information or has not been publicly launched, we will not intentionally disclose that confidential information simply for promotional purposes.
Unless a different arrangement is agreed in writing, completed public-facing work may be identified as work created by Breedie Studios after public release.
14. Confidentiality
Each party may receive confidential or commercially sensitive information. We will take reasonable steps to keep client confidential information private and use it only for legitimate project or business purposes.
Confidentiality does not normally apply to information already public, independently developed, lawfully received from another source, or required to be disclosed by law.
15. Privacy and Personal Information
Personal information collected through the website and our services is handled in accordance with our Privacy Policy.

16. Cancellation, Suspension and Termination
Either party may request that a project be paused, cancelled or terminated, subject to the applicable project agreement and rights or obligations already arising.
If a client cancels after work has started, the client may be responsible for fees corresponding to work completed, committed project time, approved expenses and other amounts properly due under the agreement.
Breedie Studios may suspend or terminate a project where there is serious or repeated non-payment, unlawful instructions, abusive conduct, material breach, or another circumstance making continued work unreasonable.
17. Final Deliverables and Acceptance
A deliverable is considered accepted when the client expressly approves it or, where appropriate, uses, publishes, launches or otherwise implements it after receiving it for final approval.
Minor technical or production corrections within the agreed scope may be addressed after delivery where reported within a reasonable period. New creative work or a changed direction may be treated as additional work.
18. Warranties and Third-Party Rights
The client represents that they have the necessary rights, permissions and authority to provide materials, instructions and content to Breedie Studios.
The client is responsible for claims arising from materials they supplied where Breedie Studios reasonably relied on the client's representation that those materials could be used.
Breedie Studios will use reasonable professional care but does not guarantee specific commercial results, rankings, sales, audience growth, conversions, publicity, platform approval or other outcomes dependent on factors outside the creative work itself.
19. Limitation of Liability
To the extent permitted by applicable law, Breedie Studios will not be liable for indirect, incidental, special or consequential losses, including loss of anticipated profits, revenue, opportunities, goodwill or business interruption arising from a project or use of our website.
Breedie Studios is not responsible for losses caused by circumstances outside our reasonable control, including failures of third-party platforms, hosting providers, domain registrars, payment providers, internet services, software vendors or external systems.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
20. Events Outside Our Control
Breedie Studios will not be considered in breach where performance is delayed or prevented by circumstances reasonably outside our control, including major infrastructure failures, natural disasters, government action, widespread cyber incidents, serious illness, strikes, civil disruption, platform outages or comparable events.
We will make reasonable efforts to communicate material delays and resume performance when practical.
21. Disputes and Governing Law
We encourage clients to raise concerns with Breedie Studios promptly so that we can attempt to resolve them professionally and in good faith.
Unless a project-specific agreement provides otherwise, these Terms are intended to be governed by the laws of Uganda, and disputes will be subject to the jurisdiction of the competent courts of Uganda.
22. Changes to These Terms
We may update these Terms when our services, website, business practices or legal requirements change. The updated version will show a new last-updated date.
Changes to the general website Terms will not automatically rewrite a signed project agreement unless the applicable agreement permits such a change.
23. Severability and Entire Agreement
If any provision is found invalid, unlawful or unenforceable, that provision will be interpreted or limited to the extent necessary and the remaining provisions will continue to apply.
These general Terms, together with any applicable project proposal, quotation, agreement and referenced policies, form the relevant agreement between Breedie Studios and the client for the services covered by those documents.
